Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("Customer," "you") and MITS SFL, Corp ("MITS," "we," "us") governing your access to and use of our websites, products, and services — including Perimeter OS, Premier Auto Leads, the Self Coaching Masters platform, Hyvyb, the MITS CRM, and related sites and applications (the "Services"). By creating an account or using the Services, you agree to these Terms.

1. Eligibility & accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account, the accuracy of your information, the security of your credentials, and all activity under your account.

2. Subscriptions, fees & billing

Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Subscriptions auto‑renew unless cancelled before the renewal date. Fees are exclusive of taxes and, except where required by law or expressly stated, are non‑refundable. We may change pricing on prospective notice.

3. Acceptable use

You agree not to use the Services unlawfully, to upload malware or probe security, to reverse engineer or resell except as permitted, or to send messages/place calls in violation of applicable law (including the TCPA, telemarketing, anti‑spam, and do‑not‑call rules).

4. Customer Data & your responsibilities

You retain ownership of data you submit ("Customer Data") and grant us a limited license to host and process it to provide the Services. You are solely responsible for the legality of your Customer Data and your use of communications features — including obtaining required consent, honoring opt‑outs, performing do‑not‑call/DNC scrubbing, and complying with TCPA, CAN‑SPAM, A2P 10DLC, DPPA (for vehicle data), and other applicable laws. Our processing of personal information within Customer Data is governed by our Data Processing Addendum (DPA), available to customers on request.

5. Communications & AI features

Where Services include SMS, email, or AI‑assisted voice, you are the sender/initiator and remain responsible for consent, required disclosures (including identifying automated/AI calls where law requires), recording notices, and suppression of opted‑out or do‑not‑call numbers. We may suspend features used unlawfully.

6. Intellectual property

We and our licensors own the Services and related IP. We grant you a limited, non‑exclusive, non‑transferable right to use the Services during your subscription.

7. Third-party services

The Services integrate third‑party providers (e.g., Stripe, Twilio, Vapi, IONOS); your use of those is subject to their terms.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10. Indemnification

You will defend and indemnify MITS against third‑party claims arising from your Customer Data, your use of the Services in violation of these Terms or law, or your communications/outreach activity.

11. Term & termination

Either party may terminate for material breach not cured within 30 days. We may suspend access for non‑payment, security risk, or unlawful use. On termination, your right to use the Services ends.

12. Governing law & disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict‑of‑laws rules. The exclusive venue for disputes is the state or federal courts located in Miami‑Dade County, Florida.

13. Changes

We may update these Terms on prospective notice. Continued use after the effective date constitutes acceptance.
